Terms of Service
WheelPro Analytics LLC, a Florida limited liability company
Effective Date: May 3, 2026 · Last Updated: August 7, 2026READ CAREFULLY. These Terms include a binding arbitration clause and class-action waiver (Section 15) that affect how disputes are resolved. They also include a limitation of WheelPro's liability (Section 13) and a disclaimer that WheelPro is not an investment adviser, broker-dealer, or fiduciary (Sections 3 and 4).
1. Acceptance of Terms
These Terms of Service ("Terms") form a binding contract between you ("you", "your", or "User") and WheelPro Analytics LLC, a Florida limited liability company ("WheelPro", "we", "us", or "our"). They govern your access to and use of the WheelPro web application at wheelpro.io and all related subdomains, applications, software, content, data, dashboards, screeners, scoring algorithms, alerts, blogs, documentation, and any other product or service we provide (collectively, the "Service").
By creating an account, starting a free trial, paying a subscription fee, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
2. Definitions
- "Account" means the registered user record associated with you on the Service.
- "Subscriber" means any individual or entity that has registered an Account, regardless of plan tier or trial status.
- "Trial" means the seven (7) day evaluation period offered to new Subscribers, which opens most features of the Service without payment information. The Trial does not include every feature of every paid plan (for example, Same-Day & Weekly Income and Auto-Pilot are excluded).
- "Subscription" means a paid recurring plan (currently Starter, Pro, or Elite), billed monthly or annually, that grants ongoing access to the Service.
- "Axle" means the Service's artificial-intelligence assistant, including its chat interface, chart reads, morning market summaries, and any other feature identified in the Service as AI-generated ("AI Features").
- "AI Content" means any output produced by the AI Features.
- "Released Parties" means WheelPro Analytics LLC and its members, managers, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers, individually and collectively.
- "Content" means data, calculations, scores, rankings, charts, recommendations (in the screening sense), educational material, and any other output produced or displayed by the Service.
3. Description of Service & Publisher Status
WheelPro is an information and analytics tool for retail traders interested in the options "wheel" strategy. The Service provides:
- Real-time and delayed market data on equities and equity options sourced from third-party feeds;
- An algorithmic ranking of options opportunities ("Wheel Score") based on a proprietary multi-factor scoring methodology;
- Technical indicators, sentiment signals, and earnings-aware filtering;
- Educational content describing the wheel strategy, options mechanics, and risk concepts;
- Hypothetical backtest simulations using historical price data;
- Personal portfolio tracking and trade journaling tools;
- Axle, an AI assistant that produces plain-English educational explanations of screening output, charts, and options concepts (see Section 3A);
- A daily AI-generated market summary ("Morning Read") and a "Daily Top 5" list of screening candidates, each of which is impersonal screening output (Section 4.1), not individualized investment advice;
- Defined-risk strategy idea tools ("Beyond the Wheel") and short-dated index-spread analysis ("Same-Day & Weekly Income"), including a daily take / watch / stand-down assessment;
- A rules-based watchlist engine ("Auto-Pilot") that stages potential entries and exits for your review (see Section 3B);
- A self-graded results scoreboard that tracks the outcomes of the Service's own screening output. A recommendation is scored once it reaches a graded outcome; recommendations that are still open, that were rolled, that ended in assignment, or for which the Service did not record enough contract detail to grade, are shown on the scoreboard but are excluded from the published win rate. A cash-secured put that finishes in the money is recorded as an assignment rather than a loss (see Section 4.1), so put recommendations can raise the published win rate but cannot lower it;
- An educational video and text course on the wheel strategy;
- Optional read-only brokerage account connections and portfolio sync (see Section 3B);
- Optional email alerts, push notifications, and digest emails.
WheelPro is NOT:
- A broker-dealer registered with the U.S. Securities and Exchange Commission ("SEC") or a member of the Financial Industry Regulatory Authority ("FINRA");
- A registered investment adviser under the Investment Advisers Act of 1940 or any state securities law;
- A fiduciary, financial planner, accountant, tax adviser, or attorney;
- A trade execution platform or order routing system;
- A custodian of any user funds, securities, or other assets;
- An issuer, underwriter, market maker, or seller of any security;
- A source of personalized investment advice tailored to your specific financial situation, goals, or risk tolerance.
WheelPro operates as an impersonal publisher of general financial information within the meaning of Section 202(a)(11)(D) of the Investment Advisers Act of 1940 and the Supreme Court's decision in Lowe v. SEC, 472 U.S. 181 (1985). The Service is offered to the general public on a subscription basis, and its screening output (Section 4.1) is distributed in regular intervals through a publication-style interface and computed without regard to any individual Subscriber's particular financial situation, risk tolerance, holdings, or investment objectives. The Service's position-management tools apply fixed, mechanical rules to data you supply, as described in Sections 3B and 4.1, and do not involve any judgment by WheelPro about you.
3A. Axle & AI-Generated Content
AI Content is educational information generated by artificial intelligence. It can be wrong. It is not investment advice, and it is not a human professional.
3A.1 What the AI Features Are
Axle and the other AI Features generate plain-English explanations of market data, charts, screening output, and options concepts using large language model technology operated in part by third-party artificial-intelligence infrastructure providers. AI Content is produced by statistical models, not by a licensed professional, and is provided for educational purposes only.
3A.2 Accuracy Limits
AI-generated output can be incomplete, outdated, or simply wrong, including in ways that appear confident and specific (sometimes called "hallucinations"). Numbers, dates, tickers, strikes, premiums, probabilities, and characterizations in AI Content may not match live market conditions. You must independently verify any fact in AI Content with your broker or another authoritative source before acting on it. Every AI response in the Service carries a disclaimer to this effect; the disclaimer applies whether or not it is visible in any particular excerpt, copy, or screenshot.
3A.3 AI Content Is Not Advice
Sections 4 (Not Investment Advice), 5 (Options Trading Risk), 6 (No Guaranteed Returns), 12 (Disclaimer of Warranties), and 13 (Limitation of Liability) apply fully to AI Content. The Service does not provide your account, profile, or connected-brokerage data to the AI Features (Section 4.2); facts you yourself choose to include in a question will naturally be reflected in the answer, but responding to the facts of your question is not an assessment of your circumstances or suitability, and it does not make AI Content individualized investment advice within the meaning of any securities law. The interactive, conversational format does not transform educational information into personalized investment advice.
3A.4 Usage Limits (Fair Use)
AI Features are metered. Each plan includes a monthly allowance of AI interactions ("reads") as described on the pricing page; allowances are a fair-use measure, reset monthly, do not roll over, and carry no cash value. We may apply per-request and per-hour limits, and may throttle or decline requests that are abusive, automated, or outside the intended use of the Service. Attempting to circumvent metering is a violation of Section 9.
3A.5 Logging and Review
We log AI interactions (your question, the AI's response, and technical metadata) to operate, meter, debug, grade, and improve the Service, as described in the Privacy Policy. Do not submit sensitive personal information to the AI Features.
3A.6 Technology Changes
The models, providers, prompts, tools, and quality characteristics underlying the AI Features are proprietary and may change at any time without notice. We make no commitment that any particular underlying technology is or will remain in use.
3B. Broker Connections & Auto-Pilot
3B.1 WheelPro Never Executes Trades
WheelPro does not place, modify, or cancel orders, and never has custody of your funds or securities. Every order is placed by you, at your own brokerage, under your broker's agreements.
3B.2 Read-Only and Sync Connections
The Service offers optional brokerage integrations, currently including a read-only connection to Robinhood (viewing balances and positions) and portfolio synchronization with supported brokers such as Tradier and Tastytrade. Read-only means the connection is structurally limited to retrieving information: it cannot transmit orders. Broker connections are provided "as is"; brokers may change or revoke their interfaces at any time, and we may modify or discontinue any integration without notice. Your relationship with your broker — including its terms, data practices, and order handling — is solely between you and the broker.
3B.3 Order Drafts and Deep Links
Features that produce a "paste-ready" order, a draft order, or an "open in broker" link are conveniences that describe a hypothetical order. They do not transmit an order, and following a deep link only opens your broker's own interface, where you alone decide whether to enter, modify, or abandon any order.
3B.4 Auto-Pilot
Auto-Pilot is a rules-based staging engine, not automated trading. It monitors your watchlist against parameters you configure and stages potential entries and exits for your review. Auto-Pilot does not place orders. You are responsible for reviewing everything Auto-Pilot stages and for any action you take on it; all disclaimers in these Terms apply to Auto-Pilot output.
3B.5 Credentials
Broker connections use the broker's own authorization mechanisms. Handling of connection credentials is described in the Privacy Policy. You may disconnect a broker connection at any time in Settings.
4. Not Investment Advice — Not a Fiduciary
WheelPro does not provide personalized investment advice. Nothing displayed in the Service is individualized advice, or a recommendation attuned to your particular circumstances, to buy, sell, hold, or trade any security.
4.1 "Recommendation" as a Screening Term
The Service's interface sometimes uses the word "recommendation" (or a variant of it). In the Service's screening surfaces — the Wheel Score screener, the Daily Top 5, the Morning Read, confidence ratings such as HIGH / MEDIUM / WAIT, and similar screening labels — that word is a term of art for impersonal screening output: output computed by the same algorithms from the same market inputs and published to all Subscribers alike. Where the Service permits you to adjust screening parameters (such as gate thresholds), those parameters re-run the same predetermined rules with threshold values you choose; they do not introduce any assessment by WheelPro of you or your circumstances.
Separately, the Service's position-management tools — portfolio tracking, covered-call analysis, position-management prompts, and Auto-Pilot (Sections 3 and 3B) — apply fixed, mechanical rules to data you supply or direct the Service to retrieve, such as a position, a cost basis, or watchlist parameters you configure, and display what those rules imply for that data.
In both cases, output reflects the operation of predetermined rules, not any judgment by WheelPro about you: WheelPro does not assess your overall financial situation, risk tolerance, objectives, tax position, or suitability, and no output of the Service is individualized investment advice attuned to your particular circumstances. AI Content is governed by Section 3A.
4.2 What the Service Does Not Use
The Service displays information: algorithmic rankings, technical indicators, screening output, historical analyses, and educational content. The Service does not use any of the following to generate, select, rank, or filter its output, other than the position-management processing you direct as described in Sections 3B and 4.1:
- Your overall financial situation, net worth, or income;
- Your risk tolerance, investment objectives, or time horizon;
- Your tax situation, employment status, dependents, or insurance coverage;
- Your holdings, leverage, margin status, or concentrated positions — the impersonal screening output described in Section 4.1 is computed without them. Where you enter positions or connect a brokerage (Section 3B), that data is used only to display it back to you and to run the mechanical position-management rules described in Sections 3, 3B, and 4.1 at your direction; it never alters the screening output shown to Subscribers generally, and the Service never sends it to the AI Features (facts you yourself include in an AI question will naturally be reflected in the answer);
- Your trading experience, account approvals, or knowledge level.
Because output is not generated from a judgment about those facts, no output from the Service is individualized "advice" in any regulatory or professional sense. Specifically, nothing displayed in the Service constitutes:
- A personalized recommendation to buy, sell, hold, or trade any specific security;
- A solicitation, offer, or invitation to enter into any transaction;
- A representation that any trade, strategy, position, expiration, strike, or counterparty is suitable for you;
- An endorsement of any broker, dealer, exchange, market maker, or third-party service;
- An opinion that any security is safe, profitable, or appropriate for any purpose.
You alone are responsible for every trading decision you make. You should consult a licensed investment adviser, broker-dealer, or other qualified professional before acting on any information from the Service.
5. Options Trading Risk
Options trading involves substantial risk and is not suitable for every investor. You may lose your entire investment in a single trade.
Before trading options, you must:
- Read and understand the OCC publication "Characteristics and Risks of Standardized Options" (the "OCC Disclosure"), which is incorporated into these Terms by reference;
- Understand the specific risks of cash-secured puts, covered calls, the wheel strategy, early assignment, dividend risk, gamma risk, theta decay, vega exposure, pin risk, and counterparty/clearing risk;
- Verify with your broker that your account is approved for the level of options trading you intend, and that you have sufficient buying power, margin headroom, and cash reserves to satisfy assignment;
- Honestly assess whether your financial situation can absorb a total loss of capital deployed.
Past performance is not indicative of future results. Volatility, liquidity, dividends, corporate actions, exchange halts, regulatory changes, and macroeconomic shocks can all produce outcomes materially different from anything displayed in the Service.
6. No Guaranteed Returns
Any backtest, projected yield, annualized yield, premium estimate, win rate, drawdown, Sharpe ratio, or historical statistic shown in the Service is hypothetical and based on assumptions that may not reflect actual market conditions. Backtests do not account for:
- Slippage, partial fills, or rejected orders;
- Commissions, regulatory fees, exchange fees, or financing costs;
- Income, capital gains, or other taxes;
- Real-world assignment behavior, early exercise, or pin risk;
- Counterparty defaults, exchange halts, or broker outages;
- Liquidity constraints in fast or thin markets;
- Margin calls, account-level concentration limits, or pattern-day-trader rules.
Yields displayed in the Service (e.g., "weekly yield," "annualized yield") are screening criteria: they describe what an option's premium implies about return at the moment the data was captured, not what you will actually earn. Past performance does not predict or guarantee future results.
7. Eligibility & Account Registration
To register an Account and use the Service, you represent and warrant that you:
- Are at least eighteen (18) years of age;
- Are a resident of the United States;
- Have legal capacity to enter into a binding contract;
- Are not on any U.S. sanctions list, denied-party list, or prohibited from receiving the Service under U.S. export controls;
- Provide accurate, current, and complete registration information and update it as needed.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not you authorized it. Notify us at support@wheelpro.io immediately if you suspect unauthorized access.
International users. The Service is offered exclusively to U.S. residents. We do not direct, market, or solicit the Service to users outside the United States. If you access the Service from outside the U.S., you do so on your own initiative and at your own risk, and you represent that doing so does not violate any law applicable to you. We make no representation that the Service is appropriate or available for use outside the United States.
8. Subscription, Billing & Cancellation
8.1 Plans & Pricing
- Paid plans — currently Starter, Pro, and Elite, each billed monthly or annually. Annual billing may carry a discount versus the equivalent monthly billing.
- 7-Day Free Trial — No payment information is collected at signup. The Trial opens most features of the Service (Same-Day & Weekly Income and Auto-Pilot excluded). The Trial does not convert automatically into a paid Subscription and you will not be charged unless you separately complete a paid checkout. When the Trial ends, your access simply reduces to whatever free functionality is then offered, unless you subscribe.
Current pricing for each plan is displayed on the Service's pricing page and again at checkout, before you provide payment information. The pricing displayed on the Service at the time you subscribe controls. Each plan includes a stated monthly allowance of Axle AI reads (see Section 3A.4). We may add new tiers, adjust feature inclusions, or retire tiers from time to time.
8.2 Payment Processor
Payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you authorize WheelPro and Stripe to charge the recurring fee for your selected plan, plus any applicable taxes, until you cancel. You agree to Stripe's terms of service. We do not store your full card number; only a tokenized reference and last-four digits.
8.3 Cancellation
You may cancel your Subscription at any time from your Account settings. Cancellation takes effect at the end of the then-current billing period. You will continue to have access through that date. No prorated refunds are issued for partial billing periods.
8.4 Refunds
All sales are final and non-refundable except where required by applicable law or as expressly provided in these Terms (including Section 8.8). If you believe a charge was made in error, contact support@wheelpro.io within thirty (30) days of the charge and we will investigate in good faith. Chargebacks initiated without first contacting support may result in immediate Account termination.
8.5 Price Changes
We may change Subscription prices, feature bundles, or trial terms with at least thirty (30) days' advance notice sent to your registered email address. Continued use of the Service after the effective date of any price change constitutes acceptance. If you do not accept, your sole remedy is to cancel before the change takes effect.
8.6 Failed Payments
If a recurring charge fails (e.g., expired card), we may retry the charge, downgrade your access, or suspend your Account. We will give you reasonable notice and an opportunity to update your payment method.
8.7 Mobile Applications
WheelPro's iOS and Android applications are login-only companions to the web Service. The mobile applications do not sell subscriptions or process payments; subscriptions are purchased and managed exclusively on the web Service. Your subscription entitlements apply across web and mobile.
8.8 Automatic Renewal Notice for Annual Plans
For any Subscription with a term of twelve (12) months or longer, WheelPro will send written or electronic notice of the upcoming automatic renewal to the email address on your Account no less than thirty (30) days and no more than sixty (60) days before the deadline to cancel and avoid the renewal charge, consistent with Fla. Stat. § 501.165. The notice will state that the plan will renew automatically unless you cancel, the term and price of the renewal, and how to cancel (Section 8.3). If we fail to send this notice for a given renewal, you may cancel within thirty (30) days after the renewal charge and receive a full refund of that renewal charge.
9. Acceptable Use
You agree NOT to:
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from the Service or any part of it;
- Scrape, crawl, harvest, or use automated tools or scripts to access the Service or extract data;
- Resell, sublicense, redistribute, or commercialize access to the Service or its outputs;
- Use the Service for any unlawful purpose, including market manipulation, insider trading, or fraud;
- Share your Account credentials, allow another person to use your Account, or maintain more than one Account per individual;
- Interfere with the operation of the Service, the experience of other users, or any third-party data feed;
- Use the Service to develop, train, fine-tune, or benchmark a competing product or model;
- Bypass tier restrictions, paywalls, rate limits, or any access control;
- Use the Service to generate, transmit, or amplify spam, malware, or fraudulent content;
- Misrepresent your affiliation with WheelPro or any other person or entity;
- Remove, obscure, or alter any proprietary notice, trademark, or watermark.
We may investigate and take action against any suspected violation, including but not limited to suspending or terminating your Account and reporting suspected illegal activity to law enforcement.
10. Intellectual Property
The Service and all content displayed in it (including the Wheel Score algorithm, scoring methodology, technical indicators, ranking logic, code, design system, copy, logos, brand identifiers, blog posts, educational material, and any derivative work) are the property of WheelPro Analytics LLC or its licensors, and are protected by U.S. and international copyright, trademark, trade-secret, and other intellectual-property laws.
10.1 Limited License
Subject to your continuous compliance with these Terms and your active Subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial purposes. All rights not expressly granted are reserved.
10.2 Trademarks
"WheelPro", "WheelPro Analytics", the WheelPro logo, the Wheel Score mark, and any related word marks or design marks are trademarks of WheelPro Analytics LLC. You may not use our trademarks without our prior written permission.
10.3 Feedback
Any feedback, ideas, or suggestions you submit to WheelPro about the Service are non-confidential, and you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use them for any purpose without compensation to you.
11. Third-Party Data Sources
Market data, options chains, historical prices, earnings dates, sentiment, and other information displayed in the Service are sourced from third parties, including but not limited to Tradier, Polygon.io, Yahoo Finance, Google Firebase, Resend, and Stripe. The AI Features are operated in part through third-party artificial-intelligence infrastructure providers (see Section 3A), and optional broker integrations rely on interfaces provided by your broker (see Section 3B). These third parties have their own terms of use, accuracy disclaimers, latency characteristics, and licensing restrictions.
We do not warrant the accuracy, completeness, timeliness, or reliability of any third-party data. Data may be delayed, stale, gapped, or incorrect. If a third-party source disrupts, modifies, or terminates its data feed, the Service may experience reduced or degraded functionality. We reserve the right to substitute, supplement, or discontinue any data source without notice.
You are solely responsible for verifying any quote, premium, Greek, expiration, dividend, or earnings date directly with your broker or exchange before placing a trade.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
To the fullest extent permitted by applicable law, WheelPro disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
- Warranties that the Service will be uninterrupted, error-free, secure, free of viruses or malicious code, or available at any particular time or location;
- Warranties as to the accuracy, completeness, currency, or reliability of any data, score, calculation, ranking, alert, or other Content;
- Warranties that the Service will produce profitable trading results, identify suitable trades for you, or avoid losses.
You acknowledge that financial markets are volatile and unpredictable, that algorithmic outputs can be wrong, that data can be stale or erroneous, and that you assume all risk of using or relying on the Service.
13. Limitation of Liability
To the fullest extent permitted by applicable law, the Released Parties shall not be liable to you for any indirect, incidental, consequential, special, punitive, or exemplary damages, and their aggregate liability is capped.
13.1 Excluded Damages
Under no circumstances shall the Released Parties be liable for any:
- Lost profits, lost revenue, lost trading opportunities, or lost business;
- Lost, corrupted, or unavailable data;
- Damages arising from missed trades, executed trades, mis-priced trades, assignment, or counterparty default;
- Damages arising from algorithmic outputs that turned out to be wrong, stale, or misinterpreted;
- Damages arising from third-party data feeds being inaccurate, delayed, or unavailable;
- Damages arising from Service downtime, latency, error, or interruption;
- Damages arising from cybersecurity incidents not caused by our gross negligence or willful misconduct,
even if a Released Party has been advised of the possibility of such damages or such damages were foreseeable.
13.2 Aggregate Cap
The aggregate liability of the Released Parties to you for all claims arising out of or related to the Service or these Terms shall not exceed the greater of:
- (i) the total amount you paid WheelPro in the twelve (12) months immediately preceding the event giving rise to the claim; or
- (ii) one hundred U.S. dollars ($100).
13.3 Mandatory Application
The limitations and exclusions in this Section 13 apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, statute, or otherwise, and apply even if any limited remedy fails of its essential purpose.
13.4 Jurisdictional Carve-Out
Some jurisdictions do not allow the exclusion of certain damages or the limitation of liability for consequential or incidental damages. To the extent these limitations are not enforceable in your jurisdiction, the Released Parties' liability shall be limited to the smallest amount permitted by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, suits, proceedings, losses, costs, damages, judgments, settlements, fines, penalties, and expenses (including reasonable attorneys' fees, expert fees, and court costs) arising out of or related to:
- Your access to or use of the Service;
- Your violation of these Terms or any applicable law or regulation;
- Your trading decisions, trading activities, or any positions you enter or fail to enter (whether or not based on Service Content);
- Your violation of any third-party right, including intellectual-property, privacy, or contractual rights;
- Any content, data, or material you submit to the Service;
- Any misrepresentation made by you to WheelPro.
WheelPro reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.
Your obligations under this Section 14 do not apply to the extent a claim, loss, or expense arises from a Released Party's own gross negligence, willful misconduct, or violation of applicable law.
15. Arbitration & Class-Action Waiver
Read this section carefully. It requires most disputes to be resolved by binding individual arbitration and waives your right to a jury trial or to participate in a class action.
15.1 Agreement to Arbitrate
You and WheelPro agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (the "AAA Rules"). The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable.
15.2 Class-Action Waiver
You and WheelPro agree that each may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, mass, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, mass, or representative proceeding. If this class-action waiver is found unenforceable, then the entirety of this Section 15 shall be null and void, but the remainder of these Terms shall remain in full force and effect.
15.3 Pre-Arbitration Notice
Before initiating arbitration, the party initiating the Dispute shall send a written notice ("Notice of Dispute") to the other party describing the nature and basis of the claim and the specific relief sought. Notice to WheelPro shall be sent to support@wheelpro.io and by U.S. Mail to the address in Section 19. The parties shall attempt to resolve the Dispute informally for thirty (30) days after the Notice of Dispute is received before initiating arbitration.
15.4 Venue & Format
Arbitration shall take place in Hillsborough County, Florida, unless you and WheelPro agree to another location, or unless the arbitration may proceed by telephone, videoconference, or written submissions under the AAA Rules. Arbitration fees: payment of AAA filing, administrative, and arbitrator fees will be governed by the AAA Rules; in addition, for any claim in which you seek less than ten thousand dollars ($10,000), WheelPro will pay all AAA filing, administrative, and arbitrator fees in excess of the amount you would have paid to file the claim in a Florida court of competent jurisdiction, unless the arbitrator determines the claim was frivolous or brought for an improper purpose. Each party shall otherwise bear its own attorneys' fees and costs except where the AAA Rules or applicable law require or permit otherwise.
15.5 Carve-Outs
Nothing in this Section prevents either party from:
- Bringing an individual action in small-claims court in the appropriate jurisdiction (so long as the action remains in that court and is not removed or transferred to another court);
- Seeking injunctive, declaratory, or other equitable relief in a court of competent jurisdiction to prevent or stop the actual or threatened infringement, misappropriation, or violation of intellectual-property rights, trade secrets, or confidentiality obligations;
- Reporting unlawful activity to a government agency or filing a charge with a government agency that has jurisdiction over a party.
15.6 Opt-Out
You may opt out of this arbitration agreement (Section 15.1, 15.2, and 15.4) by mailing written notice to WheelPro Analytics LLC at the address in Section 19 within thirty (30) days of first agreeing to these Terms. Your opt-out notice must include your full legal name, the email address associated with your Account, and the words "I opt out of the WheelPro arbitration agreement." A typed name or electronic signature is sufficient; a handwritten signature is not required. You may alternatively send the same notice by email to support@wheelpro.io from the email address associated with your Account. Opting out does not affect any other provision of these Terms.
15.7 Federal Arbitration Act
This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16, and shall be enforced to the fullest extent permissible under that Act, including with respect to its preemption of any conflicting state law.
16. Governing Law & Venue
These Terms and any non-arbitrable Dispute shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws rules. Any action not subject to arbitration under Section 15 shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you irrevocably consent to personal jurisdiction in those courts and waive any objection to venue.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17. Termination
17.1 Termination by You
You may terminate your Account at any time by following the cancellation process in Section 8.3 or by emailing support@wheelpro.io.
17.2 Termination by WheelPro
We may suspend or terminate your Account, with or without notice, if we believe in good faith that:
- You have violated these Terms;
- Your use of the Service violates applicable law or third-party rights;
- Continued service to you exposes any Released Party to legal, financial, regulatory, reputational, or operational risk;
- You have engaged in behavior abusive to WheelPro staff or other users;
- An extended period of inactivity warrants closing the Account.
17.3 Effect of Termination
Upon termination, your right to access the Service ends immediately. We may delete your Account data after termination subject to our retention obligations. Sections that by their nature should survive termination — including Sections 4, 5, 6, 10, 11, 12, 13, 14, 15, 16, 18, 20, 21, 23, this Section 17.3, and any other provisions reasonably interpreted to survive — shall survive.
18. Modifications to Terms
We may modify these Terms from time to time. We will provide notice of any material change by:
- Posting the updated Terms with a new Effective Date at wheelpro.io/terms.html; AND
- Sending an email notification to the address associated with your Account at least thirty (30) days before the effective date of the change, where the change materially reduces your rights.
Your continued use of the Service after the effective date of any modification constitutes acceptance. If you do not agree, your sole remedy is to terminate your Account before the change takes effect.
19. Notices & Communications
19.1 Notices to You
We may give you notice by posting on the Service, by email to the address on your Account, by SMS where you have opted in, or by other reasonable means. Email notices are deemed delivered when sent.
19.2 Notices to WheelPro
All legal notices, opt-out notices under Section 15.6, and Notices of Dispute under Section 15.3 must be in writing and sent to:

19.3 Email & SMS Consent
By providing your email address, you consent to receive transactional and account-related email from WheelPro. Marketing email is opt-in and you may unsubscribe at any time using the link in any marketing email or by contacting support@wheelpro.io. Where SMS is offered, message and data rates may apply, and you may opt out by replying STOP.
20. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. The invalidity of any provision in any jurisdiction shall not affect its validity or enforceability in any other jurisdiction.
21. Assignment
You may not assign or transfer these Terms or any rights under them, in whole or in part, by operation of law or otherwise, without our prior written consent. Any attempted assignment without consent is void. WheelPro may assign these Terms in connection with a merger, acquisition, sale of all or substantially all of its assets, reorganization, or by operation of law, without your consent and without notice.
22. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by acts of God, war, terrorism, riot, embargo, governmental action, regulatory change, fire, flood, earthquake, pandemic, internet or third-party data-feed outage, hosting-provider outage, denial-of-service attack, or any other event beyond the reasonable control of the affected party.
23. Entire Agreement
These Terms, together with the WheelPro Risk Disclaimer and any other notices, disclosures, or terms incorporated by reference (including the OCC Disclosure referenced in Section 5), constitute the entire agreement between you and WheelPro regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral. The Risk Disclaimer is expressly incorporated into and made part of these Terms. The WheelPro Privacy Policy describes our data practices and is provided for your information.
No failure or delay by WheelPro in exercising any right under these Terms shall operate as a waiver of that right. Any waiver must be in writing and signed by an authorized representative of WheelPro.
